The Declaration is the foundation document. It structures the association and specifies the restrictions all members must abide by. It can be updated only by a super majority of all homeowners.
The By-Laws is the lesser of the two documents, and is limited to specific areas allowed by the Declaration, mostly regarding the mechanics of operation the HOA. It can be updated by either a simple majority of the membership or the executive board.
